The Organisation:
Fingal Volunteer Centre is the one-stop shop for volunteering, providing services for organisations and individuals in the Fingal County Council area.
The organisation helps people find volunteer opportunities to suit their skills and interests.
It provides a free volunteer referral service to any individual or group looking to volunteer in Fingal.
Fingal Volunteer Centre supports voluntary and community organisations to implement best practice in volunteer management, including recruiting volunteers, developing policies and guidelines, Garda vetting, volunteer management training and much more.
Mission: To promote the value of volunteering and increase the range and quality of volunteering in Fingal.

The Role:
Fingal Volunteer Centre is seeking a Company Secretary Trustee to join the board.
The person will be working closely the Manager, the Chair and Board to ensure meetings are well-organised, records are accurate, and statutory obligations are met.
The person will also be invited to serve on the Governance Committee.
Fingal Volunteer Centre is committed to having a diverse board representative of the

General duties of a charity trustee:
- Comply with the charity’s governing document
- Ensure the charity is complying with its charitable purpose for the public benefit
- Act in the best interest of the charity
- Act with reasonable care and skill
- Manage the assets of the charity
- Input to the strategic direction, contributing with insight, oversight, and experience
of strategy formulation in other sectors.
Key Responsibilities of a Company Secretary Trustee include:
- Ensure the organisation complies with all legal and regulatory requirements under
the Companies Act and Charities Regulator - Maintain statutory registers and accurate governance records
- Work with the Manager to prepare and submit annual returns and filings to the Companies Registration Office (CRO) and Charities Regulator
- Support the Manager and the Chair in preparing board agendas, minutes, and
meeting documentation - Record minutes of the Board meetings
- Advise the Board on governance best practices and obligations
Skills and Experience
Required:
- Governance: The candidate should have knowledge of company law, charity
governance, and regulatory compliance in Ireland - Personal skills: Strong organizational skills and attention to detail
- Accuracy: Ability to maintain accurate records and manage deadlines
- Time Availability: The candidate must be able to dedicate sufficient time for board
meetings and committee meetings. - Experience with Boards: Experience in a Company Secretary role (or willingness to
upskill) - Risk Management: The candidate should have an understanding of risk
management. - Compliance: An understanding of, and commitment to, ensuring the charity’s
operations adhere to governance standards, such as the Charities Regulator's
Governance Code and internal controls, is essential.
Board Meetings:
There are twelve board meetings a year, typically lasting one hour. Meetings usually take place online on the second Wednesday of the month at 7.00 pm. We aim to have 2-4 in- person meeting per year.
Board Committees:
The Company Secretary is invited to join a Committee (Hr or Finance based on their skills
and preferences). The committees typically meet 6 times per year, generally online and last for 1 hour.
Company Secretary
As Company Secretary, the person will have regular contacts with the Chair and the centre Manager in preparation of scheduled board meeting to gather and circulate agenda and supporting documents. They will be taking the minutes during the board meeting and circulate them within 10 days.
